Typical Engagement Framework
DEFINITIONS OF COMMERCIAL INTELLIGENCE DELIVERABLES
For the purposes of this Service and Deliverables framework, the following terms shall have the meanings set out below:
1. Lead Intelligence Document
"Lead Intelligence Document” means an AIMM-prepared commercial intelligence document relating to a potential commercial opportunity, transaction, tender, procurement requirement, counterparty, supplier, buyer or other identified commercial lead.
The Lead Intelligence Document may contain, as applicable, commercially relevant information, observations, intelligence, summaries, transaction parameters, counterparty information, opportunity descriptions, contact information, tender or procurement references, and other information considered by AIMM to be relevant to the preliminary commercial evaluation of the identified opportunity.
The Lead Intelligence Document is prepared for **preliminary commercial intelligence and evaluation purposes only** and does not constitute legal, financial, investment, tax, technical, regulatory, compliance, procurement, professional or other specialist advice.
Unless expressly stated otherwise in the applicable contractual documentation, AIMM makes no representation or warranty that any information contained in a Lead Intelligence Document is complete, current, accurate, authentic, independently verified, legally enforceable, commercially achievable or suitable for any particular purpose.
The Lead Intelligence Document is supplied strictly on an **“AS IS” and “AS AVAILABLE” basis**, subject to the applicable Commercial Intelligence Rider and other contractual documentation.
2. Commercial Intelligence Rider
“Commercial Intelligence Rider” means the contractual document issued by AIMM in connection with a particular Commercial Intelligence opportunity and accepted or executed by the Client.
The Commercial Intelligence Rider establishes the specific contractual terms applicable to the relevant Commercial Intelligence Deliverable and may identify, among other matters, the applicable opportunity, scope of information, deliverables, commercial terms, fees, payment arrangements, permitted use, confidentiality obligations, limitations, disclaimers and other conditions applicable to that particular engagement.
The Commercial Intelligence Rider forms part of the applicable contractual documentation governing the relevant Commercial Intelligence Deliverable.
No Commercial Intelligence Deliverable shall be interpreted as creating any obligation, representation, warranty, guarantee, commitment or liability on the part of AIMM beyond those expressly stated in the applicable contractual documentation.
3. Redacted Lead Intelligence Document
“Redacted Lead Intelligence Document” means a Lead Intelligence Document supplied at the preliminary Stage 1 of the engagement in which AIMM may, at its discretion, redact, withhold, generalise, anonymise, remove or otherwise restrict particular information, identifiers, source details, contact information, commercial terms, documentary references or other commercially sensitive material.
Redaction is applied for commercial confidentiality, source protection, data protection, security, competitive, contractual or other legitimate business reasons and does not constitute a representation that any particular information has been omitted, nor that further information will necessarily be available or supplied at a later stage.
The Redacted Lead Intelligence Document is provided solely to enable the Client to undertake its own preliminary commercial evaluation and determine, at its sole discretion, whether to proceed with the relevant engagement.
The Redacted Lead Intelligence Document is supplied strictly on an **“AS IS” and “AS AVAILABLE” basis** and shall not be relied upon as a complete disclosure of the underlying opportunity, transaction, tender, counterparty or source material.
4. Commercial Intelligence Dossier and Supporting Source Documentation
“Commercial Intelligence Dossier” means the corresponding Lead Intelligence Document supplied following execution of the applicable Commercial Intelligence Rider, together with such additional source documentation and supporting material relating to the identified opportunity as AIMM elects to provide and is lawfully able to provide.
Where available and lawfully capable of being provided, such supporting material may include the **original tender document**, procurement document, request for quotation, request for proposal, specification, transaction document, correspondence, supporting commercial material or other source documentation relating to the identified opportunity.
The Commercial Intelligence Dossier may therefore include the corresponding Lead Intelligence Document **without AIMM-applied redactions**, together with available source documentation, including the original tender document where such document is available to AIMM and may lawfully be disclosed to the Client.
For the avoidance of doubt, AIMM does not represent or warrant that:
(a) any particular source document, tender document or other supporting material exists;
(b) any such document will be available to AIMM;
(c) AIMM will be entitled to disclose any such document to the Client;
(d) any document supplied is complete, current, authentic, unaltered or independently verified;
(e) any document supplied constitutes the complete underlying documentation relating to the identified opportunity; or
(f) any third-party information, document, tender, procurement requirement, commercial representation or other source material is accurate, genuine, legally enforceable or capable of being relied upon for any particular purpose.
Where any source documentation is supplied by AIMM, it is supplied for the Client's independent evaluation and due diligence and, unless expressly stated otherwise in the applicable contractual documentation, AIMM does not adopt, endorse, verify or guarantee the contents of such third-party material.
The Commercial Intelligence Dossier and all accompanying source documentation are supplied strictly on an **“AS IS” and “AS AVAILABLE” basis**. Upon receipt, the Client remains solely responsible for conducting its own independent legal, commercial, financial, technical, operational, regulatory, compliance, procurement and other due diligence and for determining whether, and on what terms, it wishes to pursue the identified opportunity.
Nothing contained in a Commercial Intelligence Dossier, Lead Intelligence Document, Redacted Lead Intelligence Document or accompanying source documentation constitutes an offer, acceptance, guarantee, warranty, representation, financial commitment or promise by AIMM that the identified opportunity will proceed, that a transaction will be completed, or that any particular commercial, financial or other outcome will be achieved.
SERVICE BREAKDOWN & SCOPE LIMITATIONS
1. COMMERCIAL INTELLIGENCE & DOSSIER PREPARATION
AIMM researches, compiles and organises commercial intelligence relating to procurement opportunities and prepares structured Commercial Intelligence Dossiers.
AIMM does not represent that any Commercial Intelligence Dossier is exhaustive, complete, continuously updated or suitable for any particular commercial purpose.
Commercial Intelligence Deliverables may be provided in stages. An initial Redacted Lead Intelligence Document may be accompanied by a Commercial Intelligence Rider identifying the commercial terms applicable to that specific opportunity. Where the applicable Commercial Intelligence Rider has been accepted, AIMM may, at its sole discretion, make available the corresponding Commercial Intelligence Dossier in accordance with the governing contractual documentation.
2. INFORMATION SOURCES
Commercial Intelligence Dossiers may incorporate information obtained from publicly available sources, commercially available sources and other lawful information sources available to AIMM at the time of compilation.
Where source documentation is supplied, it is provided only to the extent available to AIMM.
AIMM does not independently verify, certify or guarantee third-party information.
3. IMPORTANT NOTICE - SCOPE OF SERVICES
AIMM provides Commercial Intelligence Services only.
AIMM does not participate in capital raising, equity investment, project financing, debt financing, lending, co-investment, joint venture funding or other forms of capital deployment.
Commercial Intelligence Deliverables consist solely of structured commercial information prepared by AIMM.
Recipients remain solely responsible for obtaining any funding, financing, banking arrangements, financial guarantees or other financial resources required in connection with any commercial opportunity.
4. COMMERCIAL ENGAGEMENT FRAMEWORK
To support ongoing commercial relationships, AIMM may, at its sole discretion, utilise a structured commercial engagement framework.
Where appropriate, AIMM may invite a prospective client to enter into a master commercial framework agreement before providing Commercial Intelligence Deliverables beyond the initial evaluation stage.
At the date of publication of this website, AIMM's standard onboarding agreement is the Master Commercial Intelligence, Non-Circumvention, Confidentiality & Fee Framework Agreement (M-CI NCNDA & IFFA). AIMM reserves the right, at its sole discretion, to amend, replace, rename or utilise an alternative master commercial framework agreement where it considers this appropriate for the relevant commercial relationship.
The master framework agreement establishes the continuing legal and commercial framework governing the relationship, including, where applicable, confidentiality, intellectual property rights, Commercial Intelligence rights, non-circumvention provisions, commercial fee arrangements and other terms determined by AIMM.
Commercial Intelligence Deliverables may be provided in stages. An initial Redacted Lead Intelligence Document accompanied by a Commercial Intelligence Rider setting out the commercial terms applicable to that specific Commercial Intelligence Deliverable. Where the applicable Commercial Intelligence Rider has been accepted, AIMM may, at its sole discretion, make available the corresponding Commercial Intelligence Dossier in accordance with the applicable contractual framework.
The Commercial Intelligence Rider forms part of, and operates together with, the applicable master framework agreement. Each Commercial Intelligence Rider relates only to the specific Commercial Intelligence Deliverable identified within it and does not modify the continuing terms of the applicable master framework agreement unless expressly stated by AIMM.
5. REPRESENTATIVES & THIRD PARTIES
Where requested, AIMM may communicate through authorised representatives or facilitate the transmission of documents.
Unless expressly authorised in writing by AIMM:
no representative has authority to bind AIMM;
no representative may amend AIMM's contractual obligations;
no representative may make warranties or representations on behalf of AIMM;
no representative acts as AIMM's legal, financial or commercial agent.
Any engagement with third parties remains the responsibility of the relevant contracting parties.
