SERVICE BREAKDOWN & SCOPE LIMITATIONS
1. COMMERCIAL INTELLIGENCE & DOSSIER PREPARATION
AIMM researches, compiles and organises commercial intelligence relating to procurement opportunities and prepares structured Commercial Intelligence Dossiers.
AIMM does not represent that any Commercial Intelligence Dossier is exhaustive, complete, continuously updated or suitable for any particular commercial purpose.
Commercial Intelligence Deliverables may be provided in stages. An initial Redacted Lead Intelligence Document may be accompanied by a Commercial Intelligence Rider identifying the commercial terms applicable to that specific opportunity. Where the applicable Commercial Intelligence Rider has been accepted, AIMM may, at its sole discretion, make available the corresponding Commercial Intelligence Dossier in accordance with the governing contractual documentation.
2. INFORMATION SOURCES
Commercial Intelligence Dossiers may incorporate information obtained from publicly available sources, commercially available sources and other lawful information sources available to AIMM at the time of compilation.
Where source documentation is supplied, it is provided only to the extent available to AIMM.
AIMM does not independently verify, certify or guarantee third-party information.
3. IMPORTANT NOTICE - SCOPE OF SERVICES
AIMM provides Commercial Intelligence Services only.
AIMM does not participate in capital raising, equity investment, project financing, debt financing, lending, co-investment, joint venture funding or other forms of capital deployment.
Commercial Intelligence Deliverables consist solely of structured commercial information prepared by AIMM.
Recipients remain solely responsible for obtaining any funding, financing, banking arrangements, financial guarantees or other financial resources required in connection with any commercial opportunity.
4. COMMERCIAL ENGAGEMENT FRAMEWORK
To support ongoing commercial relationships, AIMM may, at its sole discretion, utilise a structured commercial engagement framework.
Where appropriate, AIMM may invite a prospective client to enter into a master commercial framework agreement before providing Commercial Intelligence Deliverables beyond the initial evaluation stage.
At the date of publication of this website, AIMM's standard onboarding agreement is the Master Commercial Intelligence, Non-Circumvention, Confidentiality & Fee Framework Agreement (M-CI NCNDA & IFFA). AIMM reserves the right, at its sole discretion, to amend, replace, rename or utilise an alternative master commercial framework agreement where it considers this appropriate for the relevant commercial relationship.
The master framework agreement establishes the continuing legal and commercial framework governing the relationship, including, where applicable, confidentiality, intellectual property rights, Commercial Intelligence rights, non-circumvention provisions, commercial fee arrangements and other terms determined by AIMM.
Commercial Intelligence Deliverables may be provided in stages. An initial Redacted Lead Intelligence Document accompanied by a Commercial Intelligence Rider setting out the commercial terms applicable to that specific Commercial Intelligence Deliverable. Where the applicable Commercial Intelligence Rider has been accepted, AIMM may, at its sole discretion, make available the corresponding Commercial Intelligence Dossier in accordance with the applicable contractual framework.
The Commercial Intelligence Rider forms part of, and operates together with, the applicable master framework agreement. Each Commercial Intelligence Rider relates only to the specific Commercial Intelligence Deliverable identified within it and does not modify the continuing terms of the applicable master framework agreement unless expressly stated by AIMM.
5. REPRESENTATIVES & THIRD PARTIES
Where requested, AIMM may communicate through authorised representatives or facilitate the transmission of documents.
Unless expressly authorised in writing by AIMM:
no representative has authority to bind AIMM;
no representative may amend AIMM's contractual obligations;
no representative may make warranties or representations on behalf of AIMM;
no representative acts as AIMM's legal, financial or commercial agent.
Any engagement with third parties remains the responsibility of the relevant contracting parties.
