OVERVIEW
AI Meta Markets ("AIMM") follows a structured commercial process for the preparation and release of its Commercial Intelligence Dossiers.
The process described below provides a general overview only and is intended for informational purposes. It does not create any obligation upon AIMM to prepare, offer or release any Commercial Intelligence Dossier.
AIMM reserves the right to determine whether to proceed with, suspend or discontinue any proposed commercial interaction at any stage.
STEP 1 – IDENTIFICATION OF A COMMERCIAL OPPORTUNITY
AIMM may identify procurement opportunities through its ongoing commercial intelligence research activities.
The identification of a procurement opportunity does not constitute:
an offer to buy or sell goods;
an invitation to enter into a commercial transaction;
confirmation that an opportunity remains available; or
a representation that any opportunity is suitable for a particular client.
STEP 2 – PRELIMINARY COMMERCIAL INTELLIGENCE
Where AIMM elects to proceed, it may provide a Redacted Lead Intelligence Document outlining selected information relating to the identified opportunity.
The purpose of the Redacted Lead Intelligence Document is to enable a prospective client to conduct an initial commercial evaluation without disclosing all information contained within AIMM's Commercial Intelligence Dossier.
The Redacted Lead Intelligence Document is provided on an "AS IS" basis for preliminary evaluation only.
STEP 3 – COMMERCIAL INTELLIGENCE RIDER
Where AIMM determines, at its sole discretion, that a Commercial Intelligence Dossier may be made available, the prospective Client may be invited to execute the applicable Commercial Intelligence Rider.
The Commercial Intelligence Rider records the commercial terms applicable to the proposed Commercial Intelligence Deliverable, including, where applicable, the remuneration, release conditions and any transaction-specific provisions determined by AIMM.
AIMM reserves the right, at its sole discretion, to decline, suspend, modify or discontinue the engagement process at any time before releasing any Commercial Intelligence Deliverable.
STEP 4 – COMMERCIAL INTELLIGENCE DOSSIER
Following acceptance of the applicable Commercial Intelligence Rider and satisfaction of any applicable remuneration requirements, AIMM may release the relevant Commercial Intelligence Dossier.
The Commercial Intelligence Dossier may comprise:
the corresponding Lead Intelligence Document without AIMM-applied redactions; and
available source documentation relating to the identified procurement opportunity.
The Commercial Intelligence Dossier is supplied solely as a Commercial Intelligence deliverable and is not a recommendation, certification or guarantee of any procurement opportunity, counterparty or transaction.
STEP 5 – CLIENT'S INDEPENDENT DUE DILIGENCE
Following delivery of the Commercial Intelligence Dossier, the client remains solely responsible for:
independently verifying all information;
conducting its own legal, commercial, financial, technical and regulatory due diligence;
assessing the suitability of any proposed transaction;
satisfying its own internal compliance requirements;
undertaking sanctions screening, anti-money laundering and know-your-customer procedures where applicable; and
deciding whether to proceed with any commercial activity.
AIMM does not supervise, participate in or approve any subsequent commercial negotiations or transactions.
STEP 6 – SUBSEQUENT COMMERCIAL INTERACTIONS
Where appropriate, AIMM may provide additional Commercial Intelligence deliverables under separate commercial arrangements.
Any subsequent deliverables shall be determined by AIMM and may differ in scope, content and format from previous Commercial Intelligence Dossiers.
The release of one Commercial Intelligence Dossier does not create any obligation upon AIMM to provide further information or services.
IMPORTANT NOTICE
The Engagement Process described on this page is intended solely as a general overview of AIMM's commercial procedures.
It does not:
create any contractual rights or obligations;
guarantee that AIMM will provide any Commercial Intelligence Dossier;
define the scope or content of any deliverable;
oblige AIMM to continue any commercial interaction;
require AIMM to disclose any particular information; or
limit AIMM's ability to modify its commercial processes from time to time.
Any rights and obligations arising between AIMM and a client shall be governed exclusively by the applicable contractual documentation accepted by the parties.
