A structured commercial framework for the preparation and provision of Commercial Intelligence Deliverables.
AIMM's Commercial Intelligence Framework has been developed to support the orderly provision of Commercial Intelligence Services whilst protecting confidential commercial information, intellectual property and the legitimate commercial interests of all parties.
OVERVIEW
AIMM provides Commercial Intelligence Services through a structured commercial framework designed to support the preparation and provision of Commercial Intelligence Deliverables.
The framework is intended to establish a clear distinction between:
preliminary commercial evaluation;
the provision of Commercial Intelligence Deliverables;
the ongoing contractual framework governing the commercial relationship.
The framework does not oblige AIMM to prepare, issue or release any Commercial Intelligence Deliverable and does not create any entitlement to receive information beyond that which AIMM determines, at its sole discretion, to make available.
THE COMMERCIAL INTELLIGENCE FRAMEWORK
Where AIMM determines that it is appropriate to proceed, the Commercial Intelligence Framework may include the following components.
1. MASTER COMMERCIAL FRAMEWORK
Where AIMM elects to establish an ongoing commercial relationship, AIMM may invite the prospective Client to enter into an appropriate master commercial framework agreement.
At the date of publication of this website, AIMM's standard onboarding agreement is the Master Non-Circumvention, Non-Disclosure & Intermediary Fee Framework Agreement (M-NCNDA & IFFA).
AIMM reserves the right, at its sole discretion, to amend, replace, rename or utilise an alternative master framework agreement where AIMM considers this appropriate.
The applicable Master Agreement establishes the continuing legal and commercial framework governing the relationship and may include provisions relating to confidentiality, intellectual property, commercial fees, Commercial Intelligence rights, non-circumvention and other commercial matters determined by AIMM.
The existence of a Master Agreement does not oblige AIMM to prepare or provide any Commercial Intelligence Deliverable.
2. REDACTED LEAD INTELLIGENCE DOCUMENT
Where AIMM determines that a commercial opportunity is suitable for preliminary evaluation, AIMM may prepare a Redacted Lead Intelligence Document.
The Redacted Lead Intelligence Document is intended solely to facilitate preliminary commercial evaluation whilst protecting confidential commercial information and AIMM's proprietary Commercial Intelligence.
Selected identifying information may be removed, substituted, masked or otherwise redacted.
The method and extent of any redaction remain entirely at AIMM's discretion.
3. COMMERCIAL INTELLIGENCE RIDER
A Commercial Intelligence Rider is an opportunity-specific contractual document issued by AIMM in relation to a particular Commercial Intelligence Deliverable.
The Commercial Intelligence Rider operates together with the applicable Master Agreement and records the commercial terms applicable to the identified Commercial Intelligence Deliverable.
Depending upon the circumstances, the Commercial Intelligence Rider may identify matters such as:
the applicable Commercial Intelligence Deliverable;
the relevant reference number;
the applicable commercial fee or fee methodology;
payment arrangements;
confidentiality provisions;
release conditions;
other opportunity-specific commercial terms determined by AIMM.
Each Commercial Intelligence Rider applies only to the Commercial Intelligence Deliverable identified within that Rider.
The issue of one Commercial Intelligence Rider does not create any entitlement to receive further Commercial Intelligence Deliverables or future Commercial Intelligence Riders.
4. FINANCIAL RESPONSIBILITY
The Commercial Intelligence Framework governs only the preparation and provision of Commercial Intelligence Deliverables.
The Framework does not include investment, financing, lending, capital deployment or financial advisory services.
Any financial arrangements connected with a commercial opportunity remain entirely outside the scope of AIMM's services.
5. PROCUREMENT STATUS
Commercial Intelligence Deliverables are prepared using information available to AIMM at the time of compilation.
A procurement opportunity may subsequently be amended, extended, republished, replaced, suspended, withdrawn or cancelled by the relevant third party.
Where AIMM subsequently prepares a further Commercial Intelligence Deliverable relating to the same or a substantially similar commercial opportunity, that Deliverable shall constitute a separate Commercial Intelligence Deliverable and shall not be interpreted as an update, correction or continuation of any earlier Deliverable unless AIMM expressly states otherwise.
Recipients remain solely responsible for determining the current procurement status and whether the relevant opportunity remains available.
AIMM accepts no responsibility whatsoever for monitoring or notifying Recipients of subsequent changes made by third parties.
6. BUYER PARTICIPATION REQUIREMENTS
Following receipt of a Commercial Intelligence Deliverable, the Recipient remains solely responsible for determining whether it wishes to pursue the underlying commercial opportunity.
Participation in any procurement process may require buyer onboarding, supplier registration, vendor approval, participation fees, prequalification, documentary submissions, technical evaluations, commercial submissions, compliance reviews or other procedures determined by the relevant buyer or procurement authority.
Commercial opportunities may also be subject to submission deadlines, amendments, extensions, withdrawals, cancellations or other time-sensitive requirements.
These matters remain entirely outside AIMM's control.
AIMM does not undertake to complete, administer or manage any buyer onboarding process, procurement procedure or participation requirement and accepts no responsibility whatsoever for the timing, administration or outcome of any such process.
7. COMMERCIAL INTELLIGENCE DOSSIER
Following the applicable Commercial Intelligence Framework, AIMM may, at its sole discretion, prepare or make available a Commercial Intelligence Dossier relating to the identified commercial opportunity.
A Commercial Intelligence Dossier may comprise such commercial intelligence, analytical information, source material and supporting documentation as AIMM determines, at its sole discretion, to include.
The preparation, content, structure and release of any Commercial Intelligence Dossier remain entirely at AIMM's discretion.
COMMERCIAL INTELLIGENCE DELIVERABLES
Commercial Intelligence Deliverables may include one or more of the following:
Redacted Lead Intelligence Documents;
Commercial Intelligence Dossiers;
analytical summaries;
procurement intelligence;
market research;
source references;
supporting documentation;
other commercial information selected by AIMM.
The format, structure and content of any Commercial Intelligence Deliverable shall remain entirely at AIMM's discretion.
CLIENT RESPONSIBILITIES
Recipients of Commercial Intelligence Deliverables remain solely responsible for:
independently verifying all information;
conducting their own legal, commercial, technical, financial and regulatory due diligence;
obtaining independent professional advice where appropriate;
assessing the suitability of any Commercial Intelligence Deliverable;
making all commercial decisions;
negotiating and executing any commercial transaction.
Commercial Intelligence Deliverables are not intended to replace the Recipient's own independent judgement or professional advisers.
INFORMATION STANDARD
Unless expressly stated otherwise by AIMM, all Commercial Intelligence Deliverables are provided strictly on an "AS IS" basis.
Commercial opportunities may be amended, withdrawn, cancelled or otherwise become unavailable without notice.
Information may become inaccurate, incomplete or superseded after preparation.
AIMM does not undertake to update, revise or supplement previously issued Commercial Intelligence Deliverables.
CONFIDENTIALITY & INTELLECTUAL PROPERTY
Commercial Intelligence Deliverables may contain confidential and proprietary commercial information belonging to AIMM.
All Commercial Intelligence Deliverables, analytical methodologies, report structures, databases, software, documentation and related intellectual property remain the property of AIMM unless expressly agreed otherwise by AIMM.
No licence or right to reproduce, distribute, disclose or otherwise exploit any Commercial Intelligence Deliverable is granted except as expressly provided by AIMM.
RELATIONSHIP WITH OTHER DOCUMENTS
This webpage provides a general overview of AIMM's Commercial Intelligence Framework.
The rights and obligations of AIMM and its Clients are governed exclusively by the applicable written contractual documentation issued or accepted by AIMM, including the applicable Master Agreement, Commercial Intelligence Rider and any other relevant contractual documentation.
In the event of any inconsistency, the applicable written contractual documentation shall prevail.
