AIMM GOVERNANCE FRAMEWORK

OVERVIEW

AIMM's governance framework is designed to support:

• responsible Commercial Intelligence activities;

• effective business governance;

• appropriate information governance;

• responsible use of Artificial Intelligence;

• operational resilience;

• risk management;

• protection of proprietary Commercial Intelligence;

• continual improvement.

The governance framework is intended to evolve alongside AIMM's business, technologies, operational requirements and legal obligations.

GOVERNANCE PRINCIPLES

AIMM seeks to conduct its operations in accordance with the following governance principles.

Commercial Integrity

AIMM seeks to operate its Commercial Intelligence Services in a professional, responsible and commercially transparent manner.

Commercial Intelligence Deliverables are intended to support independent commercial decision-making and are not intended to replace the Recipient's own review, verification or due diligence.

Information Governance

AIMM seeks to manage information responsibly throughout its lifecycle through appropriate governance, security, retention and confidentiality practices.

Information governance measures may be reviewed and updated as AIMM's business develops.

Artificial Intelligence Governance

Artificial Intelligence technologies may support certain research, analytical and operational activities.

The use of AI is subject to AIMM's internal governance principles, human oversight and risk-based management processes.

AI is intended to support—not replace—professional judgement and responsible decision-making.

Operational Governance

AIMM seeks to maintain governance processes supporting the responsible management of:

• Commercial Intelligence activities;

• business operations;

• technology;

• information assets;

• contractual relationships;

• operational risk.

The nature and extent of such governance may vary according to AIMM's operational requirements.

Continuous Improvement

AIMM may review, amend, replace or discontinue its governance documents, methodologies, operational practices and internal procedures as its business, technologies and operational requirements evolve.

GOVERNANCE STRUCTURE

AIMM's governance framework comprises several complementary governance categories.

Commercial Governance

Commercial Governance establishes the framework governing AIMM's Commercial Intelligence Services and related commercial relationships.

This includes, where applicable:

• Commercial Intelligence Framework;

• Master Agreement;

• Commercial Intelligence Licence;

• Terms of Business.

The Commercial Intelligence Framework explains, amongst other matters, AIMM's Commercial Engagement Framework, Commercial Intelligence Deliverables and the Commercial Intelligence Rider.

Artificial Intelligence Governance

AI Governance establishes AIMM's general principles for the responsible use, oversight and management of Artificial Intelligence technologies.

This includes:

• AI Governance Framework;

• AI Use Policy;

• Supplier AI Assessment Standard;

• Model Risk & Validation Standard.

Information Governance

Information Governance supports the responsible management of information throughout its lifecycle.

This includes:

• Information Security Policy;

• Data Retention Policy;

• Privacy Policy;

• Cookie Policy.

Corporate Governance & Compliance

Corporate Governance supports AIMM's broader operational governance.

This includes:

• Compliance;

• Website Terms of Use;

• Acceptable Use Policy.

GOVERNANCE RESPONSIBILITIES

AIMM seeks to maintain governance processes appropriate to the nature of its business.

Responsibility for implementing and maintaining governance arrangements remains with AIMM.

Recipients remain responsible for:

• conducting their own independent due diligence;

• determining the suitability of Commercial Intelligence Deliverables for their own purposes;

• obtaining their own legal, commercial, financial, technical and regulatory advice where appropriate;

• making their own commercial decisions.

Nothing within AIMM's governance framework transfers those responsibilities to AIMM.

GOVERNANCE REVIEW

AIMM may review, amend, update, replace or withdraw any governance document forming part of this framework at any time.

Governance practices may evolve to reflect changes in:

• business operations;

• technology;

• Artificial Intelligence;

• information governance;

• operational experience;

• commercial requirements;

• legal and regulatory developments;

• recognised governance practices.

INTERPRETATION

Unless the context otherwise requires, capitalised terms used throughout AIMM's governance documents have the meanings assigned to them in AIMM's Interpretation & Definitions.

RELATIONSHIP WITH OTHER DOCUMENTS

This AIMM Governance Framework provides an overview of AIMM's governance structure.

Individual governance documents describe particular aspects of AIMM's governance in greater detail and should be read in conjunction with this Framework where relevant.

Nothing in this Framework limits AIMM's ability to modify its internal governance arrangements, operational methodologies, analytical processes or business practices.

Nothing within this Framework transfers responsibility for commercial decision-making, transaction execution, risk assessment or independent verification from the Recipient to AIMM.
